Introduction

Welcome to ZenoMind Desktop. These Terms of Service ("Terms") govern your access to and use of the ZenoMind Desktop application and related services, including any content, functionality, and services offered on or through our application (the "Service").

Please read these Terms carefully before using our Service. By accessing or using the Service, you agree to be bound by these Terms. If you do not agree to these Terms, you must not access or use the Service.

Eligibility

You must be at least 13 years old to use our Service. By using our Service, you represent and warrant that you are at least 13 years old and have the legal capacity to enter into these Terms.

User Accounts and Configuration

When you configure ZenoMind Desktop, you must provide accurate and complete information. You are responsible for:

  • Safeguarding your API keys and configuration settings
  • Maintaining the security of your local data
  • Any activities or actions performed through your configured AI providers
  • Compliance with third-party service terms (OpenAI, Anthropic, etc.)

We reserve the right to disable access to our Service if, in our opinion, you have violated any provision of these Terms.

AI Assistant Service

Service Description

ZenoMind Desktop provides access to AI assistant capabilities through integration with third-party AI providers. The Service is designed for personal productivity and is provided as a desktop application for individual use.

Technical Preview Status

ZenoMind Desktop is currently in Technical Preview. This means:

  • Features may change without notice
  • Some functionality may be unstable or incomplete
  • Service availability is not guaranteed
  • Data structures may change between versions

AI Provider Integration

ZenoMind Desktop integrates with third-party AI services. You acknowledge that:

  • You must comply with the terms of service of your chosen AI providers
  • Your data will be processed by these third-party services
  • We are not responsible for the actions or policies of third-party AI providers
  • Service availability depends on third-party provider availability

Acceptable Use

When using ZenoMind Desktop, you agree to:

  • Use the Service in compliance with all applicable laws and regulations
  • Respect the rights and privacy of others
  • Not attempt to circumvent security measures or access restrictions
  • Not use the Service for illegal, harmful, or abusive purposes
  • Not attempt to reverse engineer or extract proprietary code
  • Not share your API keys or configuration with unauthorized parties

Prohibited Uses

You may not use ZenoMind Desktop:

  • For any unlawful purpose or to solicit others to perform unlawful acts
  • To violate any international, federal, provincial, or state regulations, rules, laws, or local ordinances
  • To infringe upon or violate our intellectual property rights or the intellectual property rights of others
  • To harass, abuse, insult, harm, defame, slander, disparage, intimidate, or discriminate
  • To submit false or misleading information
  • To upload or transmit viruses or any other type of malicious code
  • To collect or track the personal information of others
  • To spam, phish, pharm, pretext, spider, crawl, or scrape
  • For any obscene or immoral purpose
  • To interfere with or circumvent the security features of the Service

Intellectual Property

Our Content

The ZenoMind Desktop application and its original content, features, and functionality are and will remain the exclusive property of ZenoMind and its licensors. The Service is protected by copyright, trademark, and other laws.

Your Content

You retain all rights to any content you create, generate, or process using ZenoMind Desktop. However, you are responsible for ensuring that your use of the Service and any content you create complies with applicable laws and third-party rights.

Third-Party Content

Content generated by AI providers through ZenoMind Desktop is subject to the terms and conditions of those providers. You are responsible for understanding and complying with the terms of service of your chosen AI providers.

Data and Privacy

Local Data Storage

  • Conversations and settings are stored locally on your device
  • You are responsible for backing up your data
  • We do not have access to your locally stored conversations
  • Data security on your device is your responsibility

Third-Party Data Processing

When using AI providers:

  • Your data will be sent to and processed by third-party AI services
  • You must comply with the privacy policies of these services
  • You are responsible for any data you choose to process through these services
  • We recommend reviewing the privacy policies of your chosen AI providers

MCP Tool Usage

File System Access

When using file system tools:

  • Access is limited to directories you explicitly authorize
  • You are responsible for the safety and security of your files
  • Create backups before allowing file modifications
  • Review file operations before execution

Command Line Access

When using command line tools:

  • Commands are executed on your local system
  • You are responsible for the safety of executed commands
  • Review commands before execution, especially those that modify system settings
  • We are not responsible for any system damage resulting from command execution

Web Search and External Services

When using web search and external tools:

  • Data may be sent to external search providers
  • You are subject to the terms and privacy policies of these providers
  • We are not responsible for the accuracy or availability of external services

Service Availability

No Guarantee of Service

ZenoMind Desktop is provided on an "as-is" basis. We do not guarantee:

  • Continuous service availability
  • Compatibility with all systems or configurations
  • Error-free operation
  • That the Service will meet your specific requirements

Service Modifications

We reserve the right to:

  • Modify, suspend, or discontinue the Service at any time
  • Update system requirements or compatibility
  • Change features or functionality
  • Implement usage limitations

Limitation of Liability

To the maximum extent permitted by applicable law:

No Warranties

The Service is provided "AS IS" and "AS AVAILABLE" without warranties of any kind, whether express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, or non-infringement.

Limited Liability

In no event shall ZenoMind, its affiliates, or contributors be liable for any indirect, incidental, special, consequential, or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses, resulting from your access to or use of or inability to access or use the Service.

Maximum Liability

Our total liability to you for any claims arising from or related to these Terms or the Service shall not exceed the amount you paid us for the Service in the 12 months preceding the claim.

Indemnification

You agree to defend, indemnify, and hold harmless ZenoMind and its affiliates from and against any claims, damages, obligations, losses, liabilities, costs, or debt, and expenses (including but not limited to attorney's fees) arising from:

  • Your use of the Service
  • Your violation of these Terms
  • Your violation of any third-party rights
  • Your use of third-party AI providers through the Service

Termination

Termination by You

You may stop using the Service at any time by uninstalling the application and deleting your local data.

Termination by Us

We may terminate or suspend your access to the Service immediately, without prior notice, for any reason, including if you breach these Terms.

Effect of Termination

Upon termination:

  • Your right to use the Service will immediately cease
  • Your local data will remain on your device unless you delete it
  • All provisions of these Terms that should survive termination shall survive

Governing Law

These Terms shall be governed by and construed in accordance with applicable laws, without regard to conflict of law provisions.

Changes to Terms

We reserve the right to modify or replace these Terms at any time. We will provide notice of any material changes by:

  • Updating the Terms in the application
  • Posting notice of changes on our website
  • Updating the "Last updated" date

Your continued use of the Service after any such changes constitutes your acceptance of the new Terms.
